Terms and Conditions for Consumers
Semola AI · Tomáš Krupička · Effective from 21 October 2026
1. Introductory provisions
1.1 These terms and conditions govern contracts for the provision of services concluded between the provider and a consumer, in particular by email, telephone or via the semola.ai website, i.e. at a distance.
1.2 Provider: Tomáš Krupička, Company ID (IČO) 04661672, registered office at Soběslavice 50, 463 45 Soběslavice, Czech Republic, a natural person doing business under the Czech Trade Licensing Act and registered in the Trade Licensing Register. Trading as Semola AI. Email: info@semola.ai. The provider is not registered for VAT.
1.3 A consumer is a person who concludes a contract with the provider outside the scope of their business or independent profession. If you are ordering a service for your business (for example as a freelancer or sole trader), you are not a consumer and these terms do not apply to you. The terms and conditions for businesses apply instead.
1.4 Provisions of the contract take precedence over these terms. However, they may not deviate from these terms to the consumer's detriment where the law prohibits it.
2. Services
2.1 The provider offers in particular:
a) an intro call (online, usually 20 minutes, free and with no obligation),
b) a consultation (online, of the length stated in the price list, usually 60 minutes),
c) a tailored setup, i.e. setting up a personal AI assistant and automations together online, followed by support for the period stated in the price list or the offer,
d) a workshop, either in a group (with a limited number of participants) or one-to-one, on a date agreed in advance,
e) a one-off automation, i.e. the design, setup and handover of a specific solution using artificial intelligence and the tools you use, possibly preceded by an audit (the services under c) and e) hereinafter the "solution"),
f) monthly management, i.e. ongoing operation, monitoring and adjustment of the delivered solution.
2.2 Prices for the services under b) to d) are given in the price list on semola.ai. The specific scope, price and date of each service are confirmed in a written offer or order confirmation that you receive by email (hereinafter the "offer").
2.3 The solution usually runs in your accounts with third-party services (for example email, calendar, spreadsheets, AI model providers). These services are not included in the provider's price unless the offer states otherwise. They are governed by their operators' terms, and you pay any fees for them directly. We will tell you in advance which services the solution will need and their estimated costs.
2.4 Outputs of artificial intelligence may contain inaccuracies. We therefore design solutions so that important steps (for example sending a message on your behalf or making a payment) are confirmed by a person, unless agreed otherwise.
3. Conclusion of the contract
3.1 Information on the website is not a binding offer to conclude a contract but information about the services offered.
3.2 The contract is concluded when you accept the offer by email (for example by replying "I accept the offer and the terms and conditions"). For services at a price from the price list (consultation, tailored setup, workshop), the provider sends you the offer as a confirmation of the chosen service, price and date, and the contract is concluded when you accept it. The free intro call is not a contract for a paid service.
3.3 After the contract is concluded, the provider will without undue delay send you an email confirmation summarising the contract, together with these terms in PDF format.
3.4 Contracts are concluded in Czech or English, at your choice. Both language versions of these terms have the same content. The provider archives the concluded contract electronically and will send it to you on request.
3.5 Each party bears its own costs of distance communication (internet, telephone); they are not increased in any way.
4. Price and payment
4.1 All prices are final. The provider is not registered for VAT, so no VAT is added to the prices.
4.2 The price is paid by bank transfer on the basis of an invoice due within 14 days, unless the offer states otherwise. For a one-off automation, the offer may require an advance payment of no more than 50% of the price, payable before work begins.
4.3 Monthly management is always paid in advance for each calendar month. Consultations, tailored setups and workshops are paid in advance, no later than the day before the agreed date, unless the offer states otherwise.
4.4 The provider is not entitled to any further payments that you have not expressly agreed to in advance.
5. Performance of the service and your cooperation
5.1 The date of performance is stated in the offer. If it cannot be met because of a lack of cooperation on your part, the deadline is extended by the length of the delay.
5.2 To perform the service, you will need to give the provider access to selected accounts and materials. The provider uses access only to the extent necessary and only to perform the contract, keeps it confidential and stops using it when the contract ends. We then recommend that you change passwords or revoke access.
5.3 The solution is considered delivered when the provider has shown you that it works and has sent you brief instructions for use by email.
5a. Dates of consultations and workshops
5a.1 You may reschedule or cancel an agreed consultation, tailored setup or workshop free of charge at any time before it begins; an email to info@semola.ai is enough. If you cancel, the provider will refund the full price paid within 14 days.
5a.2 If you do not attend without prior notice, the provider will offer you one replacement date free of charge. For a group workshop, you may send another participant in your place.
5a.3 If the provider cancels a date (for example due to illness or too few registrations for a group workshop), it will offer you a replacement date. If that does not suit you, it will refund the full price paid within 14 days.
5a.4 This article does not limit your right to withdraw from the contract under Article 7 in any way.
6. Monthly management: duration and termination
6.1 Monthly management is agreed for an indefinite period.
6.2 You may terminate it at any time without giving a reason by email to info@semola.ai. Management ends on the last day of the calendar month in which your notice is delivered. You pay nothing for further months.
6.3 The provider may terminate management by email with a notice period of one month, starting on the first day of the month following delivery of the notice.
6.4 The provider will notify you of any change in the price of management by email at least 30 days in advance. If you do not agree with the change, you may terminate management with effect from the day before the change takes effect.
7. Right of withdrawal
7.1 You may withdraw from a contract concluded at a distance without giving any reason within 14 days of its conclusion.
7.2 You may withdraw by any clear statement sent to info@semola.ai or to the registered office address, for example using the model form at the end of these terms. The deadline is met if you send the statement before it expires.
7.3 Starting the service before the withdrawal period expires. The provider will begin providing the service during the withdrawal period only if you expressly request it, for example by email: "I request that the service begin before the withdrawal period expires." If you withdraw after making such a request, you will pay a proportionate part of the price for the services provided up to the moment of withdrawal.
7.4 Loss of the right of withdrawal. The right of withdrawal is lost if the service (for example a consultation or a workshop held during the withdrawal period) has been fully performed, but only if you expressly requested that it begin and confirmed in advance that you acknowledge you will lose the right of withdrawal once the service has been fully performed (Section 1837(a) of the Czech Civil Code). The same applies to digital content not supplied on a tangible medium if you expressly agreed to its supply before the withdrawal period expired and acknowledged that you thereby lose the right of withdrawal.
7.5 If you withdraw, the provider will refund all payments received within 14 days of receiving your withdrawal, reduced where applicable by a proportionate part under clause 7.3. The refund is made by the same means of payment you used, unless agreed otherwise.
8. Defects and complaints
8.1 The provider is responsible for ensuring that the service and the delivered solution correspond to the offer and the contract, are fit for the purpose you agreed, and have the characteristics that can usually be expected of such performance.
8.2 If the delivered solution is digital content or a digital service, your rights in respect of defective performance are also governed by Section 2389a et seq. of the Czech Civil Code. In particular, the provider:
a) is liable for defects that become apparent within two years of delivery, and, for monthly management, throughout its duration,
b) for the period you can reasonably expect, and throughout monthly management, informs you of and supplies updates necessary to keep the solution working, in particular for changes within the provider's control. If the solution stops working because of a change to a third-party service (clause 2.3) outside the period of management, the provider will offer to adjust it.
8.3 Make a complaint by email to info@semola.ai. Describe the defect and how it shows. The provider will confirm receipt and handle the complaint without undue delay, within 30 days at the latest, unless a longer period is agreed.
8.4 You have the right to have the defect remedied. If that is not possible, the provider refuses, fails to do so within a reasonable time, or the defect is material, you may request a reasonable price reduction or withdraw from the contract. These terms do not limit your statutory rights as a consumer in any way.
9. Liability
9.1 The provider is liable for damage under the Czech Civil Code. It does not exclude or limit its liability towards consumers.
9.2 The provider is not liable for outages, changes or discontinuation of third-party services under clause 2.3 that it could not influence, nor for damage caused by your failure to follow the instructions or by your approval of a step of the solution that was obviously wrong at first sight. This does not affect your rights in respect of defective performance.
10. Personal data
10.1 The processing of your personal data is described in the Privacy Policy.
10.2 If the solution processes personal data of other people (for example your contacts), we will agree in the offer how it will be handled.
11. Out-of-court dispute resolution and complaints
11.1 Send complaints to info@semola.ai. The provider will reply within 30 days.
11.2 The body competent for out-of-court resolution of consumer disputes is the Czech Trade Inspection Authority (Česká obchodní inspekce), Central Inspectorate, ADR Department, Štěpánská 15, 120 00 Prague 2, website adr.coi.cz. You may file a request within one year of first exercising with the provider the right that is the subject of the dispute.
11.3 Compliance with the provider's obligations is supervised by the Czech Trade Inspection Authority (www.coi.cz) and, regarding personal data protection, by the Office for Personal Data Protection (www.uoou.gov.cz). The trade licence is supervised by the competent Trade Licensing Office.
12. Final provisions
12.1 The contract is governed by Czech law. This does not affect the rights granted to you by the mandatory provisions of the law of your EU country of habitual residence.
12.2 The provider may change these terms. A contract already concluded is governed by the terms in the version valid on the date of its conclusion. For monthly management, the provider will notify you of a change by email at least 30 days in advance and you may reject it by terminating under clause 6.2.
